Terms of Service

The agreement that governs your access to and use of The Eazy CXM, operated by Easygentech Innovations Private Limited.

These Terms govern your access to and use of The Eazy CXM. Please read them carefully — by accessing or using the Service, you agree to be bound by them. They are also available alongside our Privacy Policy.

The agreement and the parties

These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "Customer", or "User") and Easygentech Innovations Private Limited, a company incorporated under the laws of India with its registered office at 7, 4th Floor, 1st Cross, Balaji Layout, AMCO Colony, Kodigehalli, Bangalore North, Bangalore, Karnataka, India — 560092 ("Easygentech", "we", "us", or "our").

These Terms govern your access to and use of The Eazy CXM (the "Service"), including our website at theeazy.io/cxm, our application at app.theeazycxm.com, our APIs, integrations, mobile apps (if any), and related documentation.

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and references to "you" or "Customer" refer to that organization.

Eligibility and account registration

  • You must be at least 18 years of age and capable of forming a legally binding contract to use the Service.
  • You must provide accurate, current, and complete information during registration and keep it up to date.
  • You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us immediately at admin@easygentech.com of any unauthorized access.
  • You must not share your login credentials with any individual outside the organization that holds the account, nor permit access by automated agents except through our documented APIs.

The Service

The Eazy CXM is a multi-tenant, cloud-based customer experience management ("CXM") platform that may include, among other features:

  • Contact, lead, deal, and account management.
  • Email campaigns, transactional email, and mailbox integrations.
  • Meetings, calendars, video conference links, and task management.
  • Customer success, ticketing, and engagement features.
  • Contracts, e-signature, document generation, and form capture.
  • Inventory, accounting, expense, and billing modules.
  • Subscription management and reporting dashboards.
  • AI-assisted features under the Zuno AI brand.
  • Integrations with third-party services including Google APIs.

The features available to you depend on the plan you have subscribed to and the configuration of your workspace.

Plans, billing, and free trials

4.1 Subscription plans

The Service is offered on a paid subscription basis. Current plans, features, pricing, and billing frequency are described on our pricing page or in your order form. By subscribing, you authorize us (or our payment processor, currently Razorpay) to charge the applicable fees to the payment method you provide.

4.2 Free trials and beta features

We may offer free trials or beta access to certain features. Free trials and beta features are provided "as is" with no warranty, may be modified or terminated at any time, and may have feature, usage, or duration limits described at the time of sign-up.

4.3 Renewals, fees, and taxes

  • Subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled before the renewal date.
  • All fees are exclusive of applicable taxes (including GST), which will be added at the rates required by law.
  • Fees are non-refundable except where required by applicable law or expressly stated in your order form.
  • We may change subscription prices with at least thirty (30) days' notice before the start of your next billing period.

4.4 Late payment and downgrade

If a payment is overdue, we may suspend access to paid features, downgrade your workspace, or terminate your account, after providing reasonable notice and the opportunity to cure.

Licence and acceptable use

5.1 Licence to use the Service

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription.

5.2 Things you must not do

You agree not to, and not to permit any third party to:

  • Use the Service in a manner that violates any applicable law or regulation, including India's Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.
  • Use the Service to send spam, phishing, malware, unsolicited bulk communications, or content that violates anti-spam laws (including the CAN-SPAM Act, CASL, and similar local laws).
  • Upload, store, or transmit through the Service any content that is illegal, infringing, defamatory, obscene, harassing, or harmful, or that contains malicious code.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by law.
  • Resell, sublicense, rent, lease, or otherwise commercially exploit the Service except through an authorized reseller arrangement with us.
  • Use the Service to build or operate a competing product, benchmark the Service for publication without our consent, or scrape data from the Service.
  • Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure (including via automated scripts, bots, or denial-of-service techniques).
  • Circumvent or attempt to circumvent any usage limits, security mechanisms, access controls, or rate limits.
  • Use the Service in connection with high-risk activities where failure could lead to death, personal injury, environmental damage, or financial loss (such as the operation of nuclear facilities, life-support systems, or air-traffic control).

Your data and content

6.1 Ownership

You retain all right, title, and interest in and to the data and content you submit to the Service ("Customer Data"), including contacts, communications, files, and records.

6.2 Licence to operate the Service

You grant Easygentech a limited, worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, process, and use Customer Data solely as necessary to:

  • Provide, operate, secure, maintain, and improve the Service.
  • Prevent or address technical or security issues, respond to your support requests, and comply with our legal obligations.
  • Generate aggregated and anonymized analytics that do not identify you or your end-users.

6.3 Your responsibilities for Customer Data

  • You are solely responsible for the accuracy, legality, and appropriateness of Customer Data and for obtaining all rights and consents required to submit it to the Service.
  • You must ensure that your use of the Service complies with the privacy and marketing-consent laws applicable to your end-users (for example, that you have a lawful basis to email your contacts).
  • You acknowledge that the Service is not designed to host special categories of sensitive personal data (such as health, biometric, or government identifiers) and you must not submit such data unless you have additionally agreed with us, in writing, on the safeguards that will apply.

6.4 Privacy and data protection

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Where you use the Service to process personal data of your end-users, you are the "data fiduciary" (controller) and we act as the "data processor" under your instructions.

Third-party integrations (including Google)

7.1 You control which integrations you enable

The Service offers integrations with third-party services including Google (Gmail, Google Calendar, Google Meet, Google Drive, Google Tasks, and Google Forms), Razorpay, Mailtrap, Twilio, WhatsApp Business, and others. These integrations are optional, and you choose whether to enable them.

7.2 Google integrations

When you connect a Google account, you authorize the Service to access specific Google data using OAuth 2.0. The exact scopes requested, the data accessed, and the features they power are described in detail in Section 4 of our Privacy Policy.

The Eazy CXM's use and transfer to any other app of information received from Google APIs will adhere to the <a href="https://developers.google.com/terms/api-services-user-data-policy" target="_blank" rel="noopener">Google API Services User Data Policy</a>, including the Limited Use requirements. In particular: we use Google user data only to provide or improve user-facing features of the Service, do not sell Google user data, do not use Google user data for advertising, and do not use Google user data to train generalized or non-personalized AI or machine-learning models.

7.3 Disconnecting integrations

You can disconnect any third-party integration at any time from Settings → Integrations within the Service, and (for Google) from myaccount.google.com/permissions. Once disconnected, the Service will stop accessing the relevant third-party data and will delete cached data in accordance with the retention rules in our Privacy Policy.

7.4 Third-party terms apply

Your use of a connected third-party service is also governed by that provider's own terms and privacy policy. Easygentech is not responsible for the practices of third-party services and is not liable for any loss arising from your use of them or their changes, downtime, or discontinuation.

AI features (Zuno AI)

The Service includes optional AI-assisted features under the brand Zuno AI (for example, lead and deal summaries, draft email generation, sales forecasting, churn prediction). These features are powered primarily by third-party large language model providers (currently OpenAI's GPT-4o family).

  • You control when AI is invoked. AI features run only when you (or another authorized user in your workspace) explicitly invoke them.
  • No training on your data. We do not use Customer Data or Google user data to train AI models. Our AI providers are contractually bound not to use data submitted via their API to train their models.
  • AI output is not a substitute for human judgement. AI-generated content may be inaccurate, incomplete, or misleading. You are responsible for reviewing AI output before relying on it or sending it to your end-users.
  • You may disable AI features for your workspace from administrator settings at any time.

Service availability and support

We make commercially reasonable efforts to keep the Service available 24x7, excluding planned maintenance windows and circumstances beyond our reasonable control. We do not guarantee that the Service will be uninterrupted or error-free.

Support is provided in accordance with the plan you have subscribed to. Standard support is available via email at admin@easygentech.com during normal business hours in India.

Suspension and termination

10.1 Termination by you

You may stop using the Service or cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the then-current billing period; fees already paid are non-refundable except where required by law.

10.2 Termination or suspension by us

We may suspend or terminate your access to the Service, in whole or in part, if:

  • You breach these Terms and (where the breach is curable) do not cure the breach within ten (10) days of notice.
  • Your payment is overdue and not paid within the cure period described in Section 4.4.
  • Your use poses a security, legal, or operational risk to us, to other customers, or to third parties (in which case we may suspend immediately).
  • We are required to do so to comply with applicable law or a binding order.
  • We discontinue the Service (or a feature) generally, in which case we will provide reasonable advance notice.

10.3 Effects of termination

On termination, your right to access the Service ends. We will make Customer Data available for export for thirty (30) days after termination, after which we may delete it. Sections that by their nature should survive termination (including ownership, confidentiality, indemnity, disclaimers, limitations of liability, and dispute resolution) will survive.

Intellectual property

  • The Service. Easygentech (and its licensors) owns all right, title, and interest in and to the Service, including all software, documentation, designs, trademarks, logos, and any improvements or feedback we make. These Terms do not grant you any rights to our trademarks or brand assets.
  • Feedback. If you provide suggestions or feedback about the Service, you grant us a perpetual, royalty-free, irrevocable, sublicensable licence to use it for any purpose, without restriction.
  • Your content. As stated in Section 6, you retain ownership of Customer Data.

Confidentiality

Each party may have access to the other's non-public information ("Confidential Information"). Each party agrees to (i) use the other's Confidential Information only as needed to perform under these Terms, (ii) protect it with at least the same care it uses for its own confidential information (and no less than reasonable care), and (iii) not disclose it to third parties except to its employees, contractors, and advisors who are bound by similar confidentiality obligations. Confidential Information does not include information that is or becomes publicly available without breach, is independently developed, or is rightfully received from a third party without a duty of confidentiality.

Warranties and disclaimers

EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. EASYGENTECH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Indemnity

You agree to defend, indemnify, and hold harmless Easygentech, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your Customer Data, including any claim that Customer Data infringes third-party rights or violates law.
  • Your breach of these Terms or applicable law in connection with the Service.
  • Your use of the Service to send communications to your end-users without the consents or lawful basis required by applicable law.

Changes to the Service or these Terms

We may update or modify the Service from time to time to improve features, security, or performance. We may also update these Terms. When we make material changes, we will update the "Last updated" date at the top of this page and, where required, notify you by email or through an in-product notice. Material changes take effect no earlier than thirty (30) days after notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Governing law and dispute resolution

These Terms are governed by, and construed in accordance with, the laws of India, without regard to its conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India. The parties may, by mutual agreement, refer any dispute to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration at Bangalore, and proceedings to be conducted in English by a sole arbitrator appointed by mutual agreement.

General terms

  • Entire agreement. These Terms, together with our Privacy Policy and any order form you have executed with us, constitute the entire agreement between the parties regarding the Service and supersede any prior agreements on the same subject matter.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, with notice to you.
  • Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver. A failure or delay by either party to enforce any right is not a waiver of that right.
  • Force majeure. Neither party will be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, internet outages, government actions, or third-party service failures.
  • No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
  • Notices. Legal notices to us must be sent to admin@easygentech.com. We may give notice to you by email to the address associated with your account or by in-product notification.
